An SL can have no commercial sales while continuing to exist as a company and as a taxpayer. The Spanish tax authority explains that inactive companies remain subject to corporate tax filing obligations under the applicable framework. Stopping invoices or notifying a change in activity should not be treated as automatic completion of every obligation.

Establish the company's actual status. Distinguish a company preparing to trade, one temporarily inactive and one undergoing formal dissolution and liquidation. Obtain the current registration information, last accounts and latest submitted corporate tax return. Management's intention to close the business is not the same as completing the legal steps.

Review transactions during the supposedly inactive period. Bank charges, professional fees, interest, asset movements and shareholder funding can still affect the accounts. An empty sales register does not establish that all return figures are zero. Preserve documents and identify who continues to manage electronic notifications and filing responsibilities.

In a hypothetical case, a technology SL postpones its launch but retains software rights and receives funding from its shareholders. It has no customer revenue. The company still needs records explaining the assets, costs and financing, together with an assessment of its filing obligations. Submitting empty figures solely because trading has not started would ignore the actual movements.

Check outstanding matters from earlier periods: tax balances, losses, unpaid suppliers and assets remaining on the balance sheet. Inactivity should not become a reason to stop reconciling them. If management wants to dispose of an asset or release a liability, review the accounting and tax consequences before posting an entry to clear the account.

Prepare a simple maintenance calendar covering the obligations confirmed for the company's status. Keep corporate procedures and annual accounts requirements distinct from the IS return; completing one does not prove the others have been handled. If permanent closure is intended, arrange a separate review of the formal process and remaining obligations.

The practical question is what this existing company must still do, based on its documented circumstances. A clear status file avoids repeated assumptions every year. To organise a review, email info@taxdevelopmentconsulting.com with the company's last trading period, transactions since then and whether the intention is to resume operations or proceed towards formal closure.
