When a nonresident sells Spanish real estate, the seller's final tax calculation and the purchaser's withholding obligations are separate parts of the transaction. A retention at completion does not automatically settle the seller's liability. Establish tax residence, ownership and the nature of the transfer early, then use current AEAT guidance to organise the parties' responsibilities and the supporting documents needed after signing.

For the gain calculation, obtain acquisition and sale deeds together with evidence of relevant costs, improvements and prior use. Review the treatment of expenses and depreciation under the applicable rules. A mortgage balance is not the acquisition cost and repaying a loan does not by itself reduce the taxable gain. Each joint owner needs an assessment based on that owner's circumstances and participation.

The buyer should check the applicable withholding and filing procedure rather than relying solely on nationality or an overseas correspondence address. Coordinate identification details and evidence of the payment made on the seller's account. The seller needs the relevant documentation to prepare the subsequent return and reconcile the withholding with the final position. Current rates, forms and deadlines should be confirmed for the actual transaction.

In a hypothetical example, two siblings living in different countries sell an inherited flat in Barcelona. They assume the amount retained by the purchaser completes every tax obligation. Their preparation instead requires acquisition evidence from the inheritance, ownership allocation and separate residence analysis. One sibling also has renovation invoices whose treatment must be reviewed rather than accepted automatically as an improvement.

Municipal land value tax is another workstream. Check the local authority's procedure, taxpayer rules and the facts relevant to whether an increase exists. It is distinct from national taxation of the seller's gain. Where Barcelona is the municipality, the council's official procedure provides the local reference; property elsewhere requires the corresponding authority's information. Do not transpose one municipality's administrative process to another.

Prepare a completion checklist identifying who supplies residence evidence, who handles withholding documentation and who reviews municipal obligations. Avoid treating the retained amount as a seller fee or calculating gain from money left after loan repayment. A nonconfidential summary at info@taxdevelopmentconsulting.com can help scope the documentary review before completion, particularly where several owners or inherited acquisition histories are involved.
