Preparing annual accounts, approving them and depositing them with the Mercantile Registry are different stages. Each needs its own documents and evidence of completion. An SL should not treat a set of draft financial statements, a submitted corporate tax return or a registry upload as proof that the whole process is complete.

Begin with the company's closing date and a calendar based on the applicable corporate rules. Identify who prepares the information, the administrators responsible for formulation and the shareholders' decision-making process. Establish whether additional reports or an audit are required for this company rather than assuming every SL uses the same package.

The formulated accounts must be consistent with the final accounting records and accompanied by the documents required in the circumstances. Keep a controlled version and arrange the appropriate signatures. Changes after formulation should be handled deliberately, with consideration of their effect on the subsequent corporate steps, rather than by silently replacing a spreadsheet.

A hypothetical services SL completes its accounts and schedules the shareholders' meeting. Before the meeting, management discovers a material supplier invoice missing from the closing file. The team assesses the change and its effect on the documents before seeking approval. Filing the original draft because it was already saved would bypass the substantive issue.

Approval and the decision on application of the result require proper corporate documentation. Preserve the meeting or decision record and the relevant certification. Check that the figures and result allocation in the filing package match the documents actually approved. Administrative data should also be current and internally consistent.

For the registry stage, use the applicable procedure and verify the outcome. A technical submission receipt is useful, but review any qualification, defect or further requirement and retain the eventual evidence of deposit. Assign responsibility for responding so an unresolved filing does not disappear from the calendar after the initial upload.

Maintain a status log distinguishing prepared, formulated, approved, submitted and deposited. This gives management an accurate view of what remains to be done.
